These Terms of Use (“Terms”) govern your access to and use of www.technopolis.nyc, including its webpages, content, forms, Site Survey functionality, Project Estimator, Project Assistant, AI-assisted functionality, Knowledge Center, and other online features operated by Technopolis (collectively, the “Site”).

The Site is operated by Technopolis (“Technopolis,” “we,” “us,” or “our”).

Please read these Terms carefully.

By accessing, browsing, or using the Site, or by submitting information through a Site form or interactive feature, you acknowledge these Terms and agree to be bound by them to the extent enforceable under applicable law.

If you do not agree with these Terms, do not use the Site.

1. Purpose of the Site

The Site provides general information concerning Technopolis and services that may include, among other things:

• technology infrastructure;
• structured cabling;
• network infrastructure;
• Wi-Fi systems;
• fiber-optic infrastructure;
• IT systems and support;
• server and network racks;
• security systems;
• video surveillance;
• access control;
• alarm systems;
• automation systems;
• smart-home systems;
• smart-office systems;
• audio/video systems;
• telecommunications;
• electrical services; and
• related technology and infrastructure services.

The Site may also provide tools intended to help prospective customers describe, evaluate, or preliminarily estimate potential projects.

Information appearing on the Site is provided for general informational, marketing, preliminary planning, and project-qualification purposes.

2. No Service Contract Is Created by Using the Site

Use of the Site does not, by itself, create:

• a contractor-client relationship;
• an engineering relationship;
• an architectural relationship;
• an IT support agreement;
• a monitoring agreement;
• a security-services agreement;
• a maintenance agreement;
• a warranty relationship;
• an obligation for Technopolis to perform services; or
• any other professional or contractual relationship.

Submitting a Site Survey request, using the Project Estimator, communicating with a Project Assistant, submitting project information, or requesting that Technopolis contact you does not obligate Technopolis to accept or perform a project.

Technopolis may accept or decline any prospective project or service request in its discretion, subject to applicable law.

A binding agreement for actual installation, construction, design, maintenance, consulting, integration, support, or other services arises only through a separate written proposal, contract, work order, service agreement, or other written instrument accepted by Technopolis and the applicable customer.

Those separate agreements may contain additional or different terms regarding:

• scope of work;
• specifications;
• pricing;
• deposits;
• payment schedules;
• change orders;
• warranties;
• exclusions;
• scheduling;
• delays;
• permits;
• inspections;
• equipment;
• subcontractors;
• limitations of liability;
• dispute resolution; and
• other project-specific matters.

If a separate written agreement conflicts with these Terms regarding actual contracted services, the separate written agreement controls with respect to those services.

3. Site Survey Requests

“Book a Site Survey,” “Request a Site Survey,” and similar Site functionality constitute a request for Technopolis to review or contact you concerning a potential project.

Submission of such a request:

• does not guarantee an appointment;
• does not guarantee availability;
• does not reserve labor or equipment;
• does not establish a project start date;
• does not constitute acceptance of a project;
• does not constitute a quotation;
• does not establish a project price; and
• does not create a contract for services.

Any appointment is subject to confirmation by Technopolis.

A Site Survey, when performed, may be preliminary in nature and may not reveal concealed conditions, inaccessible infrastructure, code issues, structural conditions, electrical conditions, network conditions, interference, defects, or other conditions that cannot reasonably be identified during the survey.

4. Project Estimator

The Site may contain a Project Estimator intended to provide users with preliminary information concerning the possible cost or scope of a project.

ESTIMATOR RESULTS ARE NOT QUOTES

Any amount, range, starting price, budget indication, cost estimate, recommendation, or other result generated through the Project Estimator is preliminary and non-binding.

Estimator results do not constitute:

• a quotation;
• a bid;
• an offer;
• a guaranteed price;
• a guaranteed maximum price;
• a guaranteed minimum price;
• a contract;
• a promise to perform work;
• a commitment to supply equipment;
• an engineering estimate; or
• a representation that a project can be completed for the displayed amount.

Actual project pricing may be higher or lower.

5. Factors That May Change Project Pricing

Actual pricing may depend on conditions that cannot reasonably be determined through an online Estimator.

These may include, without limitation:

• actual site conditions;
• concealed conditions;
• accessibility;
• building construction;
• ceiling and wall construction;
• existing wiring;
• existing electrical infrastructure;
• existing network infrastructure;
• equipment compatibility;
• cable pathways;
• conduit requirements;
• cable lengths;
• floor count;
• building size;
• required equipment;
• equipment availability;
• manufacturer pricing;
• material pricing;
• freight and shipping;
• taxes;
• permits;
• inspections;
• jurisdictional requirements;
• applicable codes;
• required engineering;
• required drawings;
• after-hours requirements;
• building-management requirements;
• access restrictions;
• parking and logistics;
• demolition;
• restoration;
• hazardous or unexpected conditions;
• project scheduling;
• labor requirements;
• customer-requested changes; and
• conditions discovered after work begins.

Technopolis is not required to honor an online Estimator result.

Only pricing contained in an applicable written proposal or contract accepted by Technopolis is binding, subject to the terms of that document.

6. Proprietary Estimator Methodology

The Project Estimator may use proprietary:

• formulas;
• pricing models;
• coefficients;
• rules;
• assumptions;
• algorithms;
• software;
• datasets;
• categorization methods; and
• business logic.

These materials constitute proprietary Technopolis information.

Users receive only the result made available through the Site and acquire no right to access, inspect, reproduce, reverse engineer, extract, scrape, copy, or commercially exploit Technopolis’s underlying Estimator methodology.

Technopolis may change the Estimator methodology at any time without notice.

7. Project Assistant and AI-Assisted Features

The Site may offer a Project Assistant, AI Project Assistant, AI Estimator Assistant, automated pre-qualification system, chatbot, or similar functionality.

As of the Effective Date, certain Project Assistant functionality may operate through deterministic or scripted workflows rather than through a generative artificial-intelligence model.

Technopolis may subsequently integrate commercial AI technology supplied through an API or similar service, including technology supplied by OpenAI, Anthropic, or another provider.

8. AI and Automated Output Disclaimer

Any information produced by an AI-assisted or automated feature is provided solely for preliminary informational and project-qualification purposes.

Artificial-intelligence and automated systems may:

• misunderstand information;
• omit relevant information;
• rely on incomplete information;
• generate inaccurate information;
• generate inconsistent information;
• make incorrect assumptions;
• misunderstand technical requirements; or
• produce results that are inappropriate for a particular property or project.

Accordingly, AI or automated output should not be relied upon as a final technical determination.

Technopolis makes no representation that AI-generated or automated output is complete, accurate, error-free, or appropriate for a particular project.

9. No Professional Advice Through the Site

Unless expressly stated in a separately executed professional agreement, information made available through the Site, Project Estimator, Project Assistant, Knowledge Center, or other online functionality does not constitute:

• professional engineering advice;
• architectural advice;
• legal advice;
• code-compliance approval;
• electrical design approval;
• structural advice;
• cybersecurity certification;
• life-safety certification;
• fire-alarm engineering;
• security certification;
• telecommunications engineering certification; or
• any other regulated professional opinion.

No information provided through the Site replaces an inspection, field verification, engineering review, code review, permit review, manufacturer specification, or professional determination that may be required for a particular project.

10. User-Provided Information

You are responsible for the accuracy and completeness of information that you provide to Technopolis.

Project estimates, recommendations, and responses may depend on the information you provide.

Technopolis is not responsible for inaccuracies or additional costs resulting from:

• inaccurate information;
• incomplete information;
• omitted information;
• incorrect dimensions;
• incorrect property information;
• incorrect equipment information;
• incorrect project descriptions; or
• conditions that differ from those represented by the user.

Technopolis may rely on information provided through the Site for purposes of preliminary project evaluation.

Technopolis is not required to independently verify information submitted through the Site before responding to an inquiry.

11. No Emergency Use

The Site, contact forms, Project Estimator, and Project Assistant are not emergency communication systems and are not monitored as emergency-response channels.

Do not use the Site to report:

• fires;
• medical emergencies;
• active crimes;
• electrical emergencies;
• active security breaches;
• active alarm events;
• life-safety emergencies;
• dangerous electrical conditions;
• gas leaks; or
• other circumstances requiring immediate response.

For emergencies, contact the appropriate emergency service or authority.

Technopolis does not assume responsibility for emergency communications submitted through ordinary Site functionality.

12. Security, Alarm, Surveillance, and Life-Safety Systems

Information concerning security, alarm, surveillance, access-control, networking, automation, or similar systems is provided for general informational and project-planning purposes.

No security, alarm, surveillance, network, access-control, automation, or similar system can eliminate all risks.

Unless expressly stated in a separate written agreement, Technopolis does not represent through the Site that any proposed technology will:

• prevent crime;
• prevent burglary;
• prevent unauthorized entry;
• prevent fire;
• prevent property damage;
• prevent cyberattacks;
• prevent network outages;
• prevent equipment failure;
• prevent data loss;
• guarantee detection of an event; or
• guarantee uninterrupted operation.

Any warranties or performance commitments applicable to an installed system are governed exclusively by the applicable written project agreement and manufacturer documentation.

13. Third-Party Equipment and Manufacturers

The Site may identify or discuss third-party products, manufacturers, technologies, platforms, software, or services.

Third-party products and services are controlled by their respective manufacturers or providers.

Technopolis does not control and is not responsible for a third party’s:

• product design;
• manufacturing defects;
• cloud-service availability;
• software updates;
• firmware updates;
• cybersecurity practices;
• licensing policies;
• API availability;
• product discontinuation;
• subscription changes;
• pricing changes;
• compatibility changes;
• warranty decisions; or
• changes to third-party services.

References to third-party trademarks, manufacturers, or technologies do not necessarily constitute endorsement, partnership, certification, or sponsorship unless expressly stated.

14. Availability of Products and Services

Descriptions of services, technologies, manufacturers, equipment, or capabilities on the Site do not guarantee that a particular product or service is available for every customer, location, property, or project.

Technopolis may:

• add services;
• discontinue services;
• change service areas;
• change manufacturers;
• substitute products where contractually permitted;
• change Site content;
• change Estimator methodology;
• modify functionality; or
• discontinue Site functionality.

Availability may also depend on applicable laws, codes, licensing requirements, permits, manufacturer availability, and project conditions.

15. No Guarantee of Website Availability

Technopolis does not guarantee uninterrupted operation of the Site.

The Site may be unavailable due to:

• maintenance;
• software errors;
• hosting failures;
• network failures;
• cybersecurity events;
• third-party outages;
• upgrades;
• force majeure events; or
• other circumstances.

Technopolis may modify, suspend, restrict, or discontinue any portion of the Site at any time, to the extent permitted by applicable law.

16. Website Content

Technopolis attempts to provide useful and current information but does not warrant that every statement, specification, photograph, diagram, article, description, price, compatibility statement, or other item appearing on the Site is complete, current, or free from error.

Technology products, building codes, manufacturer specifications, software, standards, prices, and availability change frequently.

Users should independently verify information that is material to a purchasing, engineering, installation, construction, security, or technical decision.

17. Intellectual Property

Except where otherwise indicated, the Site and its contents are owned by or licensed to Technopolis.

Protected materials may include:

• text;
• photographs;
• graphics;
• diagrams;
• branding;
• logos;
• interfaces;
• Site design;
• software;
• Estimator logic;
• workflows;
• databases;
• documentation;
• videos;
• illustrations;
• written content; and
• other materials.

These materials may be protected by copyright, trademark, trade-secret, and other intellectual-property laws.

Technopolis grants users a limited, revocable, non-exclusive, non-transferable license to access and use the Site for legitimate personal or internal business purposes related to evaluating Technopolis services.

No other rights are granted.

18. Prohibited Uses

You may not use the Site to:

• violate applicable law;
• commit fraud;
• impersonate another person or organization;
• submit knowingly false information;
• interfere with Site operation;
• bypass security controls;
• attempt unauthorized access;
• probe or test systems without authorization;
• introduce malware or malicious code;
• scrape the Site at unreasonable or automated scale;
• harvest information;
• reverse engineer proprietary Estimator functionality;
• extract proprietary pricing methodologies;
• use automated systems to overload Site infrastructure;
• interfere with other users;
• infringe intellectual-property rights;
• use Site content to misrepresent affiliation with Technopolis; or
• use Site functionality for unlawful or abusive purposes.

Technopolis may restrict or block Site access where it reasonably believes misuse, abuse, fraud, security threats, or violations of these Terms are occurring.

19. Submitted Project Information

When you voluntarily submit project information, descriptions, specifications, or other content through the Site, you authorize Technopolis to use that information as reasonably necessary to:

• evaluate the inquiry;
• communicate with you;
• prepare estimates or proposals;
• qualify the project;
• operate the Project Assistant;
• operate AI-assisted functionality;
• maintain internal CRM records;
• plan potential services;
• provide services if subsequently contracted; and
• conduct legitimate internal business operations,

in accordance with applicable law and our Privacy Policy.

You represent that you have the right to provide information you submit and that your submission does not knowingly violate another person’s rights.

20. Privacy

Technopolis’s collection and processing of information through the Site is described in the Technopolis Privacy Policy.

The Privacy Policy should be read together with these Terms.

The Privacy Policy describes Technopolis’s data practices and does not create warranties, guarantees, fiduciary duties, or contractual rights beyond those required by applicable law.

21. Communications

If you voluntarily provide contact information in connection with an inquiry, you authorize Technopolis to contact you regarding that inquiry or related project.

Such communications may concern:

• project qualification;
• requested services;
• Site Surveys;
• estimates;
• proposals;
• scheduling;
• follow-up questions; and
• related project matters.

Submission of an inquiry does not by itself constitute consent to receive marketing communications where separate consent is required by applicable law.

22. Third-Party Links

The Site may contain links to websites or resources operated by third parties.

Technopolis does not control and is not responsible for third-party websites, including their:

• availability;
• accuracy;
• security;
• content;
• privacy practices;
• products;
• services; or
• terms.

Access to third-party resources is at the user’s discretion and subject to the third party’s own terms.

23. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Site and all information, Estimator results, automated responses, AI output, content, and online functionality are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, Technopolis disclaims warranties relating to the Site, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Technopolis does not warrant that:

• the Site will always be available;
• the Site will be error-free;
• information will always be current;
• estimates will match final project pricing;
• AI or automated output will be accurate;
• all defects will be corrected; or
• the Site will be free of every security vulnerability.

Nothing in this Section eliminates warranties that cannot lawfully be excluded.

Any warranties relating to actual contracted services are governed by the applicable separate written agreement.

24. Limitation of Liability

To the maximum extent permitted by applicable law, Technopolis and its owners, officers, employees, agents, contractors, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to use of the Site.

This includes, to the maximum extent permitted by law, losses resulting from:

• reliance on preliminary estimates;
• reliance on Site information;
• reliance on automated or AI-generated content;
• loss of data;
• loss of profits;
• loss of revenue;
• loss of business opportunity;
• interruption of business;
• Site unavailability; or
• third-party products or services.

To the maximum extent permitted by applicable law, Technopolis’s aggregate liability for claims arising solely from use of the Site, Project Estimator, Project Assistant, or other free online functionality shall not exceed the greater of:

(a) the amount you paid directly to Technopolis specifically for access to the relevant Site functionality during the twelve months preceding the claim; or

(b) one hundred U.S. dollars ($100).

This limitation applies only to the extent permitted by applicable law.

It does not modify liability provisions contained in a separately executed service contract.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

25. Indemnification for Misuse

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Technopolis and its owners, officers, employees, and agents from third-party claims, damages, liabilities, and reasonable costs resulting from:

• your unlawful use of the Site;
• your unauthorized interference with Site systems;
• your intentional misuse of Site functionality;
• your infringement of another person’s intellectual-property rights;
• information you knowingly submit without authority; or
• your material violation of these Terms.

This provision does not require you to indemnify Technopolis for liability that applicable law prohibits Technopolis from shifting to another party.

26. No Responsibility for User Decisions

Users remain responsible for their own decisions concerning whether to proceed with a project, purchase equipment, select a technology, modify a property, or enter into a contract.

No action should be taken solely because an automated system, Estimator, chatbot, article, or other Site feature suggests a particular result.

Final project decisions should be based on appropriate site-specific evaluation and the applicable written proposal or contract.

27. Changes to Estimates and Website Information

Technopolis may update or correct Site information at any time.

The existence of an incorrect, outdated, or incomplete price, specification, description, or Estimator result does not obligate Technopolis to perform services or supply products according to that information.

Technopolis may correct errors before entering into a binding project agreement.

28. No Waiver of Separate Contract Requirements

Nothing communicated through the Site modifies:

• a signed contract;
• accepted proposal;
• written change order;
• service agreement;
• warranty document; or
• other binding project document,

unless Technopolis expressly agrees to the modification in a writing authorized for that purpose.

Website conversations, chatbot responses, Estimator results, or form submissions do not constitute change orders or amendments to an existing project contract.

29. Legal Notices

Ordinary Site forms, Project Assistant messages, Estimator submissions, social-media communications, or general inquiries are not designated channels for:

• service of legal process;
• formal legal notices;
• claims required to be made under a contract;
• statutory notices;
• insurance notices; or
• formal warranty claims,

unless Technopolis expressly confirms otherwise in writing or applicable law requires otherwise.

30. Governing Law

These Terms and disputes arising solely from access to or use of the Site shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles, except where applicable federal law controls or applicable law requires otherwise.

31. Jurisdiction and Venue

To the extent permitted by applicable law, disputes arising solely from these Terms or use of the Site shall be brought in a court of competent jurisdiction in the State of New York.

Each party consents to personal jurisdiction in New York for such disputes to the extent that consent is legally effective.

Nothing in this Section changes dispute-resolution provisions contained in a separate written project or service agreement.

32. Separate Project Dispute Terms

A project proposal, installation contract, maintenance agreement, support agreement, or other separately executed contract may contain its own:

• governing-law provision;
• venue provision;
• arbitration provision;
• mediation requirement;
• limitation period;
• limitation of liability;
• indemnification provision; or
• other dispute-resolution procedure.

Where applicable, those separately agreed terms govern disputes concerning the contracted services.

33. Changes to These Terms

Technopolis may update these Terms as the Site, technology, services, or applicable laws change.

The current version will be identified by the “Last Updated” date.

Unless applicable law requires otherwise, revised Terms apply prospectively to use of the Site occurring after the revised Terms are posted.

Material changes will not be applied retroactively where doing so would be prohibited by applicable law.

34. Termination and Restriction of Access

Technopolis may restrict, suspend, or terminate access to Site functionality where reasonably necessary to:

• protect the Site;
• prevent abuse;
• investigate fraud;
• respond to security threats;
• comply with law;
• protect Technopolis or third parties; or
• enforce these Terms.

35. Assignment

Technopolis may assign or transfer its rights and obligations under these Terms in connection with:

• a merger;
• acquisition;
• sale of assets;
• restructuring;
• financing;
• transfer of business operations; or
• similar transaction,

subject to applicable law.

Users may not assign rights under these Terms in a manner that would materially increase Technopolis’s obligations without Technopolis’s consent.

36. Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary.

The remaining provisions will remain in effect to the extent permitted by law.

37. No Waiver

Failure by Technopolis to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

A waiver is effective only to the extent expressly made by Technopolis.

38. Entire Agreement Regarding Website Use

These Terms, together with policies expressly referenced herein, constitute the agreement concerning use of the Site.

They do not replace or supersede separate written contracts governing actual Technopolis projects or services.

39. Consumer Rights

Nothing in these Terms is intended to waive or restrict rights that cannot legally be waived under applicable federal, state, or local law.

If a provision conflicts with a non-waivable legal requirement, the applicable law controls only to the extent of that conflict.

Nothing in these Terms prohibits a customer from making an honest review, rating, assessment, or other communication protected by applicable law.

Questions concerning these Terms may be submitted through the contact information provided on the Site.

Ordinary contact submissions do not constitute formal legal notice unless expressly required by applicable law or accepted as such by Technopolis.
